1. Introduction and Acceptance

These Terms of Service (Terms) constitute a legally binding agreement between you (you, your, or User) and Songyuan Zhuya Network Technology Co., Ltd., operating under the trade name Chase Asia (Chase Asia, we, our, or us), a company organized under the laws of the People's Republic of China, with its registered address at Room C027, 4F, Building 2, Commercial Complex, Boxue Road, Ningjiang District, Songyuan City, Jilin Province, 131000, China.

By accessing or using the website located at chaseasia.buzz (the Site), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site or to services we offer. If you do not agree to these Terms in their entirety, you must immediately discontinue all use of the Site.

You represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction, and that you have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Chase Asia provides computer systems design and related services, including but not limited to enterprise systems architecture consulting, cloud infrastructure design, custom software systems design, data architecture and analytics platform design, systems integration and middleware design, and cybersecurity architecture consulting (collectively, the Services).

The Site serves as an informational platform describing our Services and providing a mechanism for prospective clients to contact us. The descriptions of Services on the Site are for informational purposes only and do not constitute a binding offer to provide services. All engagements are governed by a separate, written agreement executed by both parties, which supersedes any descriptions on the Site.

We reserve the right to modify, suspend, or discontinue any aspect of the Site or the Services described therein at any time without prior notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. User Obligations and Conduct

In using the Site, you agree to comply with all applicable laws, regulations, and these Terms. You further agree that you will not:

• Use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law.
• Submit false, misleading, or fraudulent information through the Site or any associated communication channels.
• Attempt to gain unauthorized access to any portion of the Site, the server on which the Site is hosted, or any server, computer, or database connected to the Site.
• Introduce viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material.

• Interfere with or disrupt the operation of the Site or the servers or networks connected to the Site.

• Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Site and all of its contents, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof — are owned by Chase Asia, its licensors, or other providers of such material and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

The Chase Asia name, the Chase Asia logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Songyuan Zhuya Network Technology Co., Ltd. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

4.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal or internal business purposes. This license does not include any right to:

• Modify, adapt, translate, or create derivative works based on the Site or any portion thereof.
• Reproduce, distribute, publicly display, or publicly perform any content from the Site except as expressly permitted.
• Decompile, reverse engineer, or disassemble any software or code contained on the Site.
• Use any content from the Site for commercial purposes without our express written consent.

Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

4.3 User Submissions

You acknowledge and agree that Chase Asia shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services.

THE SITE AND ALL CONTENT, INFORMATION, MATERIALS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHASE ASIA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
• ANY WARRANTY THAT THE INFORMATION, CONTENT, OR MATERIALS ON THE SITE ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE.
• ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

YOUR USE OF THE SITE AND ANY CONTENT, INFORMATION, OR SERVICES OBTAINED THROUGH THE SITE IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM YOUR USE OF THE SITE.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHASE ASIA, SONGYUAN ZHUYA NETWORK TECHNOLOGY CO., LTD., OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR USE OR INABILITY TO USE THE SITE.
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE.
• ANY CONTENT OBTAINED FROM THE SITE.
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL CHASE ASIA'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00), WHETHER SUCH LIABILITY ARISES IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER CHASE ASIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY EVEN IF ANY REMEDY PROVIDED HEREIN FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. Indemnification

You agree to defend, indemnify, and hold harmless Chase Asia, Songyuan Zhuya Network Technology Co., Ltd., and their respective officers, directors, employees, contractors, agents, licensors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Site, including any User Submissions you provide.
• Your violation of any applicable law, regulation, or third-party right.
• Your gross negligence, willful misconduct, or fraud.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with us in asserting any available defenses.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the People's Republic of China, without giving effect to any choice or conflict of law provision or rule.

9.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally as well. If the dispute is not resolved within thirty (30) days of your initial contact, either party may proceed with formal dispute resolution as provided below.

9.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be finally settled by arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its Arbitration Rules in effect at the time of the arbitration. The seat of arbitration shall be Beijing, China. The arbitration shall be conducted in English. The arbitral award shall be final and binding on both parties.

9.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights or confidential information.

10. Termination

We reserve the right, in our sole discretion, to terminate or suspend your access to all or any part of the Site at any time, with or without notice, for any reason or no reason, including without limitation if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms.

Upon termination, your right to access and use the Site shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, warranty disclaimers, limitations of liability, indemnification, and dispute resolution provisions.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Chase Asia on the Site, constitute the entire agreement between you and Chase Asia concerning your use of the Site and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, relating to the subject matter hereof.

11.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to reflect the parties' original intent to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any waiver must be in writing and signed by an authorized representative of Chase Asia.

11.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, or any rights or obligations hereunder, at our sole discretion without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

11.5 Force Majeure

Chase Asia shall not be liable for any failure or delay in performance under these Terms arising out of or caused, directly or indirectly, by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders, pandemics, labor disputes, internet or telecommunications failures, or power outages.

11.6 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Chase Asia. Neither party has any authority to bind the other or incur any obligation on the other's behalf.

11.7 Notices

Any notices or other communications required or permitted under these Terms shall be in writing. Notices to Chase Asia shall be sent to the email or physical address listed in Section 11.8. Notices to you may be sent to the email address you provide through the Site, or posted conspicuously on the Site.
